Exhibit B — Renewal & Termination

Either party may terminate this Agreement upon ninety (90) days' prior written notice to the other party, provided that all outstanding fees have been paid in full as of the effective date of termination.

Notwithstanding the foregoing, Client may terminate for convenience with thirty (30) days' notice during the first twelve (12) months of the Initial Term without penalty or cancellation fee.

In the event of termination, each party shall return or destroy all Confidential Information of the other party within fifteen (15) business days.
